The agreement between you and Syniq (Pty) Ltd. It is not a contract of adhesion dressed up as friendliness — it is the plainest form of the thing we could write and still be precise.

Acceptance of terms
By accessing or using Syniq Business OS (the “Service”), operated by Syniq (Pty) Ltd, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service.
User accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access
- Ensuring your account information remains accurate and up to date
Subscriptions and payments
Certain features of the Service require a paid subscription:
- Payment is due in advance on a recurring basis
- Subscriptions automatically renew unless cancelled
- Prices are subject to change with 30 days' notice
- Refunds are handled on a case-by-case basis
- We reserve the right to modify or discontinue features
Acceptable use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful or malicious code
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Service
- Use the Service for any fraudulent or illegal purpose
Data and content ownership
You retain all rights to the data and content you submit to the Service. By using the Service, you grant us a licence to store, process, and display your content solely for the purpose of providing the Service to you. We will not share your business data with third parties except as outlined in our Privacy Policy.
Intellectual property
The Service — including its software, source code, design, look and feel, branding, logos, trademarks, and documentation — is and remains the exclusive property of Syniq (Pty) Ltd and its licensors, and is protected by South African and international intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes for the duration of your subscription. Nothing in these Terms transfers any ownership of the Service or our intellectual property to you.
Service availability
While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.
Third-party services
The Service integrates with and depends on third-party providers — including payment processors (such as Paystack and Yoco), accounting platforms (such as QuickBooks), hosting providers, and analytics tools. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, security, or conduct of any third-party service, and any dispute arising from a third-party service is between you and that provider.
Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements. You are responsible for maintaining your own backups of critical business data.
No professional advice
Syniq Business OS is a business-operations and record-keeping tool. It does not provide accounting, tax, legal, or financial advice, and its calculations, reports, and outputs are provided for your convenience only. You remain responsible for the accuracy of your records and for your own tax, compliance, and reporting obligations. You should consult a suitably qualified professional before relying on any output of the Service for regulatory, tax, or financial purposes.
Limitation of liability
To the maximum extent permitted by South African law, Syniq (Pty) Ltd and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses arising from or relating to your use of, or inability to use, the Service.
To the extent we are found liable despite the above, our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the total amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Your statutory rights
Nothing in these Terms excludes, restricts, or limits any right or remedy you may have under the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, or any other applicable South African law that cannot lawfully be excluded or limited. Where any disclaimer or limitation in these Terms is found to be unenforceable, it applies only to the extent permitted by law. Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify and hold harmless Syniq (Pty) Ltd from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
Force majeure
We will not be liable for any failure or delay in performing our obligations where the failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, load-shedding or power outages, failures of telecommunications or internet infrastructure, cyber-attacks, strikes, governmental action, or the failure of third-party service providers.
Termination
We reserve the right to terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may terminate your account at any time by contacting us.
General
- Entire agreement — these Terms, together with our Privacy Policy and the other policies referenced here, are the entire agreement between you and Syniq (Pty) Ltd regarding the Service.
- Severability — if any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
- No waiver — our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment — you may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
Changes to terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
